Terms Of Service
Last updated: August 1, 2026. Please read these terms carefully before using our website or engaging our services.
Agreement to Terms
By accessing this website or signing a statement of work with APEllit Solutions, you agree to be bound by these terms. If you don't agree with any part, please don't use our site or services.
Services Provided
We provide web development, app development, cloud & DevOps, and cybersecurity services as scoped in an individual proposal or statement of work. Specific deliverables, timelines, and pricing are agreed upon separately for each engagement and take precedence over general statements on this site.
Client Responsibilities
- Provide timely feedback, access, and materials needed to keep a project on schedule.
- Ensure any content, assets, or data you supply are lawfully yours to use.
- Review and approve deliverables within the timeframes set out in the project scope.
Intellectual Property
Ownership of custom deliverables transfers to the client upon full payment, as detailed further on our Licensing page. APEllit retains ownership of its pre-existing tools, frameworks, and internal libraries used to build those deliverables.
Payment Terms
Payment schedules are defined per project — typically a deposit before kickoff followed by milestone or time-and-materials billing. Late payments may pause active work until the account is brought current.
Confidentiality
We treat project details, credentials, and business information shared with us as confidential, and we're happy to sign a mutual NDA before discovery begins on sensitive engagements.
Limitation of Liability
To the extent permitted by law, APEllit Solutions' total liability for any claim arising from our services is limited to the fees paid for the engagement giving rise to the claim. We are not liable for indirect or consequential damages.
Termination
Either party may terminate an active engagement with written notice as specified in the project agreement. Work completed and expenses incurred up to the termination date remain payable.
Governing Law
These terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, unless a signed project agreement specifies otherwise.
Changes To These Terms
We may revise these terms from time to time. Continued use of our site or services after an update constitutes acceptance of the revised terms.
